License Agreement of ucode issue service 1. Scope of use This License Agreement (hereafter referred to as the "Agreement") governs the use conditions of ucode issue service (hereafter referred to as the "System") which is provided by YRP Ubiquitous Networking Laboratory (hereafter referred to as the "Laboratory"). 2. Copyright Laboratory and its providers own and shall continue to own the copyright in and to all the software, documentation, images on the display, and their copies. 3. License 3.1 Laboratory grants to the user (hereafter referred to as the "Licensee") a non exclusive right to use the System free of charge. However, all the expense of Internet service provider, communication costs, etc. for Licensee to use the System shall be borne by Licensee. 3.2 Licensee agrees that no intellectual property right licensed by this Agreement shall be transferred or licensed to Licensee either expressly or implicitly. 4. Service Duration The service is effective for one year from last time when ucode is issued or associated with information using the System by Licensee. 5. Prohibitions 5.1 Licensee shall not do any of the following without prior written consent of Laboratory. 5.1.1 Reprint, transfer, sell, or distribute the System and any works in the System in any manner. 5.1.2 Crack or hack the System, or disrupt its normal operation. 5.1.3 Transfer or sell the right to use the System, or rent or lease the System. 6. No warranty and Indemnification 6.1 Laboratory makes no warranty as to the defect, unfitness for a particular purpose, disruption of the System, infringement of third party rights by using the Software, or any other issues. 6.2 Laboratory shall not be liable for any losses or damages (including, but not limited to lost earnings, business interruption, loss of business information, and other pecuniary damage) relating to or arising from the use, unavailability, or crash of the System, or loss of registered data even if Laboratory has been advised of the possibility of such damage. 7. Responsibility of Licensee 7.1 Licensee shall use the System at his/her own responsibility. 7.2 Licensee shall be solely liable for any action and its result using the System. 7.3 Licensee shall be liable for keeping secrets of his/her account password to use the System. 7.4 All the information such as text, image, audio, etc. registered by Licensee using the System shall belong to Licensee. Laboratory assumes no responsibility for the content of the information such as text, image, audio, etc. released by Licensee using the System. 7.5 In the event that Licensee defames any person, violates copyright law, the right of others, or their rights of privacy, or discloses personal information of the third party without permission, the Licensee shall at his/her own responsibility and expense resolve such issues. Laboratory assumes no liability for any illegal or injurious action of Licensee, including but not limited to the above issues. 8. Termination and Modification 8.1 Laboratory reserves the right to terminate the System without prior notice. 8.2 Laboratory reserves the right to terminate this Agreement without prior notice in the event that Licensee breaches the terms of this Agreement. 8.3 Laboratory reserves the right to change or modify all or any part of this Agreement at any time without prior consent of Licensee. 9. Handling of personal information 9.1 Licensee agrees to disclose and register his/her e-mail address to and in Laboratory to use the System. 9.2 Laboratory uses the e-mail address disclosed and registered by Licensee to use the System only for the limited purpose of providing them with their passwords to use the System and informing them of any modification of the System or Agreement. 10. Miscellaneous 10.1 This Agreement shall not obligate Laboratory to provide Licensee with any support (such as bug fixing, or support or technical service, etc. by telephone, fax, or e-mail) or upgrade. 10.2 Any and all disputes concerning this Agreement or Systems shall be governed by, construed, and interpreted under the laws of Japan, not by the law concerning the selection of the applicable law by law, etc. 10.3 Tokyo District Court shall be the exclusive agreement jurisdictional court of the first hearing for any and all disputes concerning this Agreement or System. These terms have been revised and shall be effective since/from November 11, 2009.
